01About these terms
These terms are an agreement between Persive Tech Solution(“Persive”, “we”) and the business that uses our software (“you”). They cover the Persive WhatsApp Automation Platform and the other software services we provide to businesses.
By creating an account or using the platform, you accept these terms on behalf of your business. If you have a separate signed agreement with us, that agreement wins where the two differ.
02Who may use the platform
- The platform is for businesses — academies, shops, clinics and other organisations. It is not a consumer product.
- The person who signs up must be at least 18 and have the authority to bind the business.
- You must own, or be authorised to use, the WhatsApp Business number you connect.
03Your account and password
- Give us accurate details and keep them up to date.
- Keep passwords secret. Each staff member should have their own login; do not share accounts.
- You are responsible for everything done through your account, including by staff you add.
- Tell us at support@persive.in straight away if you think someone has got into your account.
04Your responsibilities when messaging
You decide who your business messages and what it says. So you must:
- have the consent (opt-in) of every person you message, as WhatsApp requires, and keep a record of it;
- stop messaging anyone who asks you to stop, and honour opt-outs quickly;
- follow WhatsApp's Business Messaging Policy and Commerce Policy, and Meta's other terms for the WhatsApp Business Platform;
- have a lawful reason to store the records you put in the platform about students, parents, patients or customers;
- make sure the content you send — reminders, receipts, results — is accurate.
You are the controller of your customers' data. We process it for you, as described in our Privacy Policy.
05What you must not do
- Send spam or bulk unsolicited marketing.
- Message people who have not opted in, or who have opted out.
- Send anything Meta's policies ban — including illegal goods or services, adult content, gambling, weapons, or misleading claims.
- Harass, threaten or deceive anyone, or pretend to be someone else.
- Send malware or phishing links.
- Try to break, overload, reverse-engineer or get around the security of the platform, or reach another client's data.
- Resell the platform without our written agreement.
06Fees and WhatsApp charges
There are two separate charges. Please keep them apart.
- Persive software fees — for using the platform, as agreed in your plan or invoice. Prices are in Indian rupees and taxes are added where they apply.
- WhatsApp message charges — set and billed by Meta, directly to your own WhatsApp Business Account and the payment method on it. They are not part of Persive's fees and we do not collect them.
If a Persive invoice stays unpaid after we have reminded you, we may pause the account until it is settled.
07Your data
Your data stays yours. We use it only to provide the service, as set out in the Privacy Policy. You can ask us to export it at any time, and delete it from the portal or by following the Data Deletion Instructions.
08Uptime and support
- We aim to keep the platform running around the clock. When we need planned maintenance we try to do it at quiet hours and tell you in advance.
- We do not promise a specific uptime percentage unless it is written into a separate agreement with you.
- Message delivery depends on Meta's WhatsApp Business Platform. Outages, delays or decisions on Meta's side — such as a number being restricted or a template being rejected — are outside our control.
- Support is by email at support@persive.in. We answer as quickly as we can, and urgent problems — the bot not replying, messages not sending — go to the front of the queue.
09Suspension and termination
- You can close your account at any time by emailing support@persive.in.
- We may suspend or close an account, with notice where we can, if it breaks these terms, breaks Meta's policies, puts other clients or the platform at risk, or if fees stay unpaid.
- If Meta asks us to stop serving an account, or bans a number, we may have to act straight away without notice.
- When an account closes, stored access tokens are revoked and deleted at once, and the workspace data is deleted within 90 days, as the Privacy Policy describes.
10Our software
The platform, its code and its design belong to Persive. You get the right to use it for your business while your account is active. Your content, templates and customer records belong to you.
11Limitation of liability
- The platform is provided as it is. We work hard to keep it accurate and available, but we cannot promise it will be free of every error or interruption.
- We are not liable for indirect losses — lost profits, lost business, or lost opportunities — or for losses caused by Meta, WhatsApp or your own content and instructions.
- Our total liability for any claim is limited to the Persive fees you paid us in the 12 months before the claim.
- You are responsible for claims that arise from messages you send or data you put in the platform without the right to do so.
Nothing in these terms limits liability that cannot be limited under Indian law.
12Changes to these terms
We may update these terms. We change the date at the top, and for any change that matters to how you use the platform we email you before it takes effect. If you keep using the platform after that, the new terms apply.
13Governing law
These terms are governed by the laws of India. Any dispute goes to the courts at Pune, Maharashtra. Before going to court, we would both try in good faith to settle it by talking.
